The exact scope, deliverables, timeline, pricing, and responsibilities for any project should be confirmed in a written proposal, invoice, statement of work, email agreement, or contract.
3. Quotes, Proposals, and Changes
Quotes are based on the information available at the time they are prepared. If requirements change, new features are requested, third-party systems behave unexpectedly, or additional work is needed, pricing and timelines may be adjusted. Work outside the agreed scope may require separate approval.
4. Client Responsibilities
Clients are responsible for providing accurate requirements, timely feedback, required access, content, assets, approvals, licenses, and any third-party account information needed to complete the project. Delays in providing these items may affect delivery timelines.
5. Payments
Payment terms are defined in the relevant invoice, proposal, or agreement. Deposits, milestone payments, or full payment may be required before work begins, before deployment, or before delivery of final files. Late or unpaid invoices may result in paused work, withheld deliverables, suspension of support, or termination of services.
6. Intellectual Property
Unless otherwise agreed in writing, clients own the final custom deliverables created specifically for them after full payment is received. MTD Technologies retains ownership of pre-existing tools, reusable code, frameworks, processes, know-how, templates, internal utilities, and general development methods used to deliver services.
7. Third-Party Tools and Licenses
Projects may depend on third-party plugins, themes, libraries, APIs, hosting services, AI providers, payment gateways, analytics platforms, or other tools. Clients are responsible for maintaining required licenses, accounts, subscriptions, and compliance with third-party terms unless agreed otherwise.
8. AI and Automation Services
AI and automation solutions can improve productivity but may produce unexpected or inaccurate outputs depending on data quality, provider limitations, prompts, integrations, and user operation. Clients are responsible for reviewing AI-assisted outputs and using appropriate human oversight for business-critical decisions.
9. Website Content and Legal Compliance
Clients are responsible for the accuracy, legality, and ownership of content, media, data, trademarks, product information, and claims supplied for a project. Clients are also responsible for obtaining legal, privacy, accessibility, tax, industry, and regulatory advice where applicable.
10. Support and Maintenance
Support, maintenance, updates, backups, monitoring, and security services are provided only when included in an agreement or purchased separately. Without an active maintenance arrangement, clients are responsible for maintaining their websites, apps, hosting, plugins, integrations, and accounts after delivery.
11. Warranties and Disclaimers
We aim to provide professional, reliable services, but we do not guarantee uninterrupted operation, specific search rankings, exact revenue outcomes, or compatibility with all future third-party updates. Services and website information are provided on a reasonable commercial-efforts basis unless a specific written warranty is agreed.
12. Limitation of Liability
To the maximum extent permitted by law, MTD Technologies will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from use of the website or services. Our total liability for a paid project is limited to the amount paid for the specific service giving rise to the claim, unless applicable law requires otherwise.
13. Termination
Either party may terminate a project according to the relevant agreement. Amounts due for completed work, approved milestones, third-party costs, or non-cancellable commitments remain payable.
14. Changes to Terms
We may update these Terms and Conditions from time to time. Continued use of the website or services after updates means you accept the revised terms.
